Terms of Service

    These Terms of Service ("Terms") govern your access to and use of Habyn (the "Service"), provided by Habyn ("we", "us"). By creating an account or using the Service you agree to these Terms.

    1. Acceptance

    You must be at least 18 years old and able to form a binding contract. If you accept on behalf of an organization, you confirm you have authority to bind it.

    2. Account

    You are responsible for the accuracy of your account information, the security of your credentials, and all activity under your account. Notify us promptly of any unauthorized access.

    3. Acceptable use

    • Do not use the Service to violate any law or third-party rights.
    • Do not upload content that is unlawful, infringing, harmful, or misleading.
    • Do not attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.
    • Do not use the Service to send unsolicited communications.

    4. Subscriptions and payments

    Paid plans are billed in advance on a monthly or annual cycle. Fees are non-refundable except where required by law. We may change prices on renewal with at least 30 days' notice. Taxes are your responsibility unless we are required to collect them.

    5. Your content

    You retain ownership of the data and content you upload ("Customer Data"). You grant us a limited licence to host, process, and display Customer Data solely to provide the Service. You are responsible for having the rights to upload that content.

    6. Our IP

    The Service, including all software, branding, and documentation, is owned by Habyn and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms.

    7. Confidentiality

    Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms.

    8. Disclaimers

    The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

    9. Limitation of liability

    To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service will not exceed the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

    10. Termination

    You may cancel at any time from your account settings. We may suspend or terminate access for breach of these Terms or for security reasons. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.

    11. Governing law

    These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario. Disputes are subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

    12. Changes

    We may update these Terms. Material changes will be communicated by email or in-product notice and take effect 30 days after notice (or immediately for legal/security reasons).
